You should be able to swap the fan, but as born2code pointed out, it would be ill-advised to do so. 1U PSUs are packed very, very tightly and a low flow 40mm fan will cause overheating, I can virtually guarantee it. Just keep an eye on the cpu temperature when you adjust the fan speed. It's not going to be silent, but you could probably get it to be quieter than it is now. However...

That's not PCI Express on the DFI, it's a 64-bit PCI slot :)

The commell is a nice board, but the lack of a desktop AGP slot keeps me from being interested in it.

I'm not aware of any boards with onboard 7.1 sound. 5.1 yes, 7.1 no. But other than that, that's what I was thinking- something like an IC7-G Max III but with Dothan support.
