Sounds okay. Maybe you can try to undervolt even more but the one you're planning is quite good already. Is the hard drive a 3.5" or a 2.5" one? Did you check the temps when the CPU was under heavy load and ran passively? Idle temps won't tell anything about the possibility to run passively (that being said, it is possible to run an E8400 passively). You could also use a very fast CompactFlash card in a CF->IDE adapter. A 266x or 300x card should be sufficient, just make sure you get a good adapter that supports UDMA.
