"300 Mbps" is only the the WiFi link speed. You will only see around 50% of that real world and only if conditions are good. It's not clear, but are you intending to game on this HTPC, or just watch video? If you are not gaming then drop the GTX260, it's not a good card for video decoding as it is missing some full offload for some codecs. It really depends on the card. I've had newer cards that work fine with their fans disconnected. I would suspect that such an old and low end card wouldn't care and there were stock fanless versions of the 3450. Try it and see.
