Will Ninja fit on a Asus P5B-VM? (running a server passively

Hi, I have two questions:
(1)
The P5B-VM (integrated vga)'s CPU is closer to the edge of the board than in the other P5B motherboards. Will the Ninja have enough space?
(2)
I'm planning on under-clocking a CND$96 Celeron on that board and run a server passively using the Ninja.
How does that sound? Any better low-cost server configs using a ninja (rev B)?
