A cooling question

CASE: Antec NSK 3480
PSU: The EarthWatts that comes with the case
MoBo: Asus P5E-VM HDMI
CPU: Intel Core 2 Duo E6550
Ram: Mushkin EM PC2-6400 2X1GB DDR2-800
Harddrive: Western Digial SE16 250KS
Optical: Samsung SH-S203N

The only issue is cooling. I'm thinking I'll go with a passive Scythe Ninja. Would a single Noctua NF-S12-800 120MM rear care fan and a single Nexus 92mm intake fan be enough to cool everything? Or would I need a fan on the Ninja?

Also, given that I'm sticking with the provided EarthWatts PSU, is there much point switching out the Tricool (on low) for the Noctua?
