PC upgrade: AMD-3200+, Asrock 939SLI32-eSATA2 -> ?

hi everyone,
it's time now to upgrade my PC, which I built couple of years ago with help of SPCR. I should say, that I'm pretty satisfied with the level of noise and more or less also with the performance. But now have to give the main components (mainboard, CPU, RAM) to my brother.

The actual configuration:
AMD Athlon64 3200+ 2 GHz (to upgrade)
Asrock 939SLI32-eSATA2 M1697 (to upgrade)
1024MB DDRRAM MDT PC400 TwinPac (to upgrade)
Seasonic S12 380W
250GB Samsung SpinPoint P120
Asus 128MB Extreme EN6600 Silence
Aerocool Turbine
Scythe Ninja SCNJ-10

Usage: Internet browsing, watching movies, music, Photoshop.
The budget is quite limited. So I consider 4850E or 5000+ as a replacement. Which of these would you recommend? Or maybe one from Intel, like E2180? (but then i don't really know which motherboard to pick)

If AMD, then GA-MA78GM-S2H is recommended a lot here. However, I am not going to need the on-board graphics. Then, maybe to chosse for example Asus M2N?

Can I ask why not? You don't list playing games as a requirement. Even if it is you might find that the 780G does a good enough job. With the advent of 780G and GF8200 integrated graphics is no longer a dirty word.

Would you say, that I'm not going to need my extreme silent Asus EN6600?

You should certainly consider it. Using the integrated graphics should reduce your overall power consumption and make the whole system easier to cool quietly. It's more than good enough for desktop work. Also 780G has UVD which might help accelerate movie playback (depending on what formats, and what player software you use).

One thing I would say though is that that board doesn't support dual-link DVI so if you've got a 30" monitor it might not be a good solution.

Actually, I realized that I'm going to need a graphics card simply because I use s-video output.

By the way, which of these to take:
Kingston ValueRAM DIMM Kit 2GB PC2-6400U CL5 (DDR2-800) (KVR800D2N5K2/2G)
Mushkin DIMM Kit 2GB PC2-6400U CL5-5-5-18 (DDR2-800) (996529)
Mushkin DIMM Kit EM2-6400 2GB PC2-6400U CL5-5-5-12 (DDR2-800) (996527)
MDT DIMM Kit 2GB PC2-6400U CL5 (DDR2-800) (M2GB-800K)
or maybe
MDT DIMM Kit 4GB PC2-6400U CL5 AMD-Edition (DDR2-800) (M4GB-800K-AE)

Also I consider maybe to upgrade to a little bit more powerfull configuration as taking
Intel Core 2 Duo E7200, 2x 2.53GHz, 266MHz FSB, 3MB shared Cache
and
ABIT IP35 Pro.
Not sure how much speed advantage this would give.

I like Mushkin myself. I got 3 GB ( 2x1gb + 2x512mb Kingston 667 ) in my Primary system and 2x2 GB Mushkin in my game rig. I have to say I love muskin memory. Kingston is perfectly goodaswell but Mushkin can take voltages and lower altencies. Its excellent overlocking memory, while Kingston is good generic memory.
