Will Ninja fit on a Asus P5B-VM? (running a server passively

Hi, I have two questions:

(1)
The P5B-VM (integrated vga)'s CPU is closer to the edge of the board than in the other P5B motherboards. Will the Ninja have enough space?

(2)
I'm planning on under-clocking a CND$96 Celeron on that board and run a server passively using the Ninja.
How does that sound? Any better low-cost server configs using a ninja (rev B)?

Although that's an LGA775 board, it seems to be about the same location as my A8N-VM which can be found here:

The edge of the Ninja pretty much lines up with the edge (right hand side of the photo) of this motherboard. The other side is lined up with the edge of the chipset cooler. Since the Ninja has a bit of space under it (below the fins) it didn't interfere with the chipset cooler.

I was never happy running the Ninja passively on any system.
Even with a 120mm exhaust fan directly behind the Ninja @1400 rpm, CPU temp was 8c or higher (at idle) than with the fan on the Ninja itself.

Suppose an air channel would have helped that, but as the fan on the Ninja is pretty quiet on it's own I didn't bother.

Bottom line, still need to pay attention to decent air flow across the Ninja and case to get the cooling advantages.
